Terms and Conditions

Terms:

You must pay with one of the following: A valid credit card acceptable to Integrated CPA Group (VISA, AMEX, or MasterCard), or sufficient funds in a checking or savings account to cover an electronic debit of the payment due. All invoices for services described are offered at a 3% discount if paid by ACH.


Ongoing Terms:

• Tax-deductible evergreen subscription fee payable monthly

• You may cancel the engagement at any time with a 30-day notice


Our liability relating to the performance of the services rendered under this letter is limited solely to direct damage sustained by you. In no event shall we be liable for the consequential, special, incidental, or punitive loss, damage or expense caused to you or to any third party (including without limitation, lost profits, opportunity costs, etc.). Notwithstanding the foregoing, our maximum liability to services rendered under this letter (regardless of form of action, whether in contract, negligence, or otherwise) shall be limited to fees received by me for this engagement. The provisions set forth in this paragraph shall survive the completion of the engagement.


Our fee is based on anticipated cooperation from your personnel and the assumption that unexpected circumstances will not be encountered during the work performed. If significant additional time is necessary, we will discuss it with you and arrive at a new fee before we incur the additional costs.


Ongoing Subscription

This agreement shall automatically renew each month unless canceled. Please note that prices and charges are subject to change with notice. Payments are nonrefundable and there are no refunds or credits for partially used periods or services.


Cancellation

You may cancel your subscription at any time with a 30-day notice. We do not provide refunds for any partial-month membership periods. To cancel, notify hello@integratedfg.com of your intent via email by placing "Cancel Subscription" in the subject line. You will receive confirmation of your cancellation by return email.


Service Post Cancellation

No services shall be rendered to Subscriber under this agreement after cancellation. All services and responsibility for provision of them will terminate upon cancellation.


FINANCE CHARGE AND NSF FEE: All bills which are not paid within 30 days of the date of the bill shall be subject to a finance charge of 1.5% per month interest to accrue from the first day in which the bill was sent. Any returned ACH payments will be assessed a $25 fee. Integrated CPA Group and Teaching Tax Flow, LLC reserve the right to dis-enroll clients from the payroll processing trust account service, if applicable.


You understand and agree that our billings to you become delinquent if not paid within 30 days of the invoice date. You further understand and agree that we may withdraw from the present engagement at any time for any reason at our sole discretion. In particular, you agree that if you fail to pay for the services rendered or expenses incurred for the engagement, we either may discontinue performing services for you until all outstanding balances are paid and/or may withdraw from the engagement ten days after the emailing of written notice to you at the same address to which statements are sent. You recognize that any discontinuation of work by us could seriously harm your interests, but nevertheless specifically give your consent to us to do so regardless of any filing or other deadlines you face.


Disputes

Any dispute or claim relating in any way to these Terms or your use of your membership will be adjudicated in the state or Federal courts in Hamilton County, Indiana, and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial. 


Engagement Changes

We may in our discretion change these Terms, Integrated CPA Group's Conditions of Use and Privacy Notice, or any aspect of your membership, without notice to you. If any change to these terms is found invalid, Void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED MEMBERSHIP AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.
